Welcome to Transworld GL Logistics Sdn. Bhd. (“TGLL”, “the Company”, “we”, “our” or “us”). By engaging our services, accessing our website, or entering into any form of agreement with us (including but not limited to transport, logistics, warehousing, forwarding, distribution, and related services), you (“the Client”, “you”, “your”) agree to be bound by the following Terms of Service.

These Terms apply universally to all services, whether agreed verbally, in writing, online, or by conduct. Please read carefully.

1. Scope of Services

TGLL provides transportation, logistics, warehousing, freight forwarding, distribution, and related services. The Company may update, expand, or vary the services offered from time to time.

 

2. Client Representations & Obligations

By engaging TGLL, you represent, warrant, and agree that:

• You are legally capable of entering into binding agreements.

• All information provided (including consignment details, addresses, contacts, permits, and documentation) is accurate, complete, and lawful.

• Goods tendered for transport are properly packed, labelled, and comply with all applicable laws and regulations.

• You shall not request TGLL to carry any prohibited, illegal, dangerous, or restricted goods unless expressly disclosed and accepted in writing by TGLL.

• You shall comply with all instructions, schedules, and requirements reasonably imposed by TGLL.

 

3. Company Rights

TGLL reserves the right to:

• Refuse, suspend, or terminate services if instructions are unlawful, incomplete, unsafe, or unreasonable.

• Subcontract or delegate part or whole of the services to third parties while remaining contractually responsible to the Client.

• Inspect goods where legally required or reasonably necessary to verify safety or compliance.

• Update these Terms at any time by publishing the revised version on our website. Continued use of our services constitutes acceptance.

 

4. Payment & Charges

• Fees are chargeable as agreed in quotation, invoice, or prevailing published rates.

• Unless otherwise agreed, payments are due within 30 days of invoice date.

• TGLL reserves a general lien over goods, documents, or property in its possession until all outstanding charges, costs, or expenses are settled.

• Any disputes on invoices must be notified in writing within 7 days of receipt; otherwise, invoices are deemed accepted.

 

5. Liability & Risk Allocation

• TGLL shall take reasonable care in handling and transporting goods but is not liable for:

  • Loss, damage, or delay arising from inherent defects, natural deterioration, act of God, accident, theft, strikes, riots, civil commotion, war, government action, or any cause beyond our reasonable control.

  • Consequential, indirect, or economic losses (e.g., loss of profit, business, market, goodwill, or opportunity).

• TGLL’s maximum liability for any claim is limited to the lesser of:

  • The value of the goods lost or damaged, or

  • RM10 per kilogram of the gross weight of the goods lost or damaged; or

  • RM200 per consignment, unless higher insurance is arranged by the Client at additional cost.

• Clients are strongly advised to obtain adequate insurance coverage. TGLL may assist in arranging insurance upon written request but accepts no liability if coverage is inadequate or denied by insurers.

6. Indemnity

The Client agrees to indemnify and hold TGLL, its directors, employees, subcontractors, and agents harmless against all losses, damages, claims, liabilities, penalties, fines, or expenses (including legal costs) arising out of or connected with:

• Breach of these Terms by the Client.

• Inaccurate, misleading, or incomplete instructions, documentation, or labelling.

• Transport or storage of prohibited, illegal, or restricted items.

• Any act, omission, or negligence of the Client or its representatives.

7. Force Majeure

TGLL shall not be liable for any delay, failure, or inability to perform services due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, lockouts, equipment failure, cyberattacks, or government restrictions.

8. Confidentiality & Data Protection

• TGLL may collect, store, and process Client data for the purpose of providing services.

• TGLL will take reasonable measures to protect personal and business data in line with the Personal Data Protection Act 2010 (Malaysia).

• TGLL may disclose information when required by law, regulation, or court order.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Malaysia. The parties agree to submit to the exclusive jurisdiction of the courts of Sarawak, Malaysia, without prejudice to TGLL’s right to enforce in other jurisdictions.

10. Miscellaneous

• Entire Agreement: These Terms, together with any quotation, invoice, or specific agreement, constitute the entire agreement between TGLL and the Client.

• Severability: If any clause is found invalid or unenforceable, the remainder remains in force.

• No Waiver: Failure or delay in exercising rights does not waive them.

• Counterparts & E-signatures: Any agreement, form, or acknowledgment signed electronically or in counterparts shall be deemed valid and binding.

• Notices: Notices may be delivered in person, by email, or by registered post to the last known address of the parties.

11. Acceptance

By using our services, you acknowledge that you have read, understood, and agreed to these Terms of Service.
